END USER LICENSE AGREEMENT

End User License Agreement (EULA) for Fresh Scan

This End User License Agreement (“Agreement”) is a legal agreement between you (“User” or “you”) and Bhabesa Agritech Pvt. Ltd. (“FreshScan,” “we,” “us,” or “our”) governing your use of the Fresh Scan application (“Application”) and associated services. By downloading, installing, or using the Application, you agree to be bound by this Agreement.

1. License Grant

Bhabesa Agritech Pvt. Ltd. grants you a limited, non-exclusive, non-transferable, revocable license to use the Application for personal or business purposes in accordance with this Agreement.

2. Application Features

a. Report Generation

  • The Application allows users to create detailed quality control (QC) reports, including categories such as size, weight, brix levels, temperature, and more.
  • Reports include GPS-stamped photos, authentication stamps (e.g., “Created By,” “Approved By”), and options for password protection.
  • Reports can be shared as PDFs, HTML links, or QR codes.

b. Social Connectivity

  • Users can connect with industry peers, share insights, and maintain supplier relationships through the platform.
  • The platform ensures privacy by facilitating connections without sharing personal contact information.

c. Marketplace

  • The Application provides a marketplace where users can buy and sell fresh produce efficiently.
  • Users can explore available lots, negotiate terms, and finalize deals directly within the platform.
  • Fresh Scan is not liable for any transactions conducted through the marketplace, including the buying or selling of produce. The Application does not guarantee the quality of listed produce, the accuracy of prices, or the reliability of other users.

d. Analysis Tools

  • Features include report comparison, chart creation, and data aggregation.
  • Users can combine multiple reports for comprehensive insights and optimize decision-making based on visualized data.

e. Approval System

  • Reports can be sent for internal or buyer approval, with “Approved By” stamps to indicate acceptance.
  • Approved reports change their designation to “Quality Inspection Report,” providing assurance for quality standards.

f. User Management

  • The Application supports managing up to 100 users per account without additional costs.

g. Trial and Subscription

  • Fresh Scan offers a free 7-day trial for traders, exporters, and importers.
  • Continued use beyond the trial period requires a subscription.

3. Acceptable Use

  • You agree to use the Application only for lawful purposes and in compliance with all applicable laws and regulations.
  • You must not:
    • Reverse engineer, decompile, or disassemble the Application.
    • Use the Application to transmit unauthorized or harmful data.
    • Exploit the Application for purposes other than those intended.

4. Intellectual Property

All intellectual property rights in the Application, including but not limited to trademarks, service marks, logos, and content, are owned by Bhabesa Agritech Pvt. Ltd. You may not reproduce, distribute, or create derivative works based on the Application without prior written permission.

The trademark “Fresh Scan” is owned by Bhabesa Agritech Pvt. Ltd.

5. Data Privacy

Fresh Scan collects and processes personal data in accordance with its Privacy Policy, which is incorporated by reference into this Agreement. By using the Application, you consent to such data collection and processing.

6. Disclaimer of Warranties

The Application is provided “as is” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Bhabesa Agritech Pvt. Ltd. shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Application or any direct or indirect damages caused by the reports generated through the Application.

8. Termination

This Agreement is effective until terminated by either party. Fresh Scan may terminate this Agreement without notice if you breach any terms herein. Upon termination, you must cease all use of the Application and delete all copies from your devices.

9. Updates and Modifications

Fresh Scan reserves the right to update or modify this Agreement at any time. Continued use of the Application after such updates constitutes your acceptance of the modified Agreement.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Wherever you are using the Application globally, you agree to be governed by the laws applicable in India, in addition to the local laws of your jurisdiction.
